1. Acceptance of Terms

By accessing or using the Sweetz platform ("Service"), operated by Sweetz Digital Ltd, a company registered in England & Wales with its registered office at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom ("we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you must not access or use the Service. We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the updated Terms. We will notify registered users of material changes via email or in-app notice.

2. Eligibility & Age Requirement

The Service is strictly limited to adults. You must be at least 18 years of age, or the age of majority in your jurisdiction (whichever is higher), to access or use the Service. By creating an account or accessing the Service, you represent and warrant that:

• You are at least 18 years old
• You have the legal capacity to enter into a binding agreement
• You are not prohibited from using the Service under any applicable law
• Your use of the Service does not violate any law or regulation applicable to you

The Service contains adult (18+) content. In jurisdictions where online services providing adult content are required to implement highly effective age assurance (including the United Kingdom under the Online Safety Act 2023 and applicable United States state laws), we implement age-assurance measures consistent with the applicable regulatory guidance. We reserve the right to request additional verification at any time and to suspend or terminate any account where we reasonably believe the user does not meet the age requirement or has provided false information.

It is your responsibility to ensure that your use of the Service is lawful in your jurisdiction. The Service is not offered in any jurisdiction where it would be unlawful.

3. Account Registration & Security

To access certain features, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security and confidentiality of your login credentials
• Immediately notify us of any unauthorized use of your account
• Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or are being used in violation of these Terms.

4. Subscription & Credits

4.1 Subscriptions

Premium subscriptions are billed on a recurring basis (monthly or yearly) at the rate displayed at the time of purchase. Subscriptions automatically renew unless cancelled before the end of the current billing period. You may cancel at any time through your account settings or by contacting support. Cancellation takes effect at the end of the current billing period — no partial refunds are issued for unused time within a billing cycle.

4.2 Credits (Tokens)

Credits are virtual currency used to access certain features (image generation, video generation, voice). Credits are non-refundable and non-transferable. Purchased credits do not expire. Monthly credits included with a subscription expire at the end of each billing cycle and do not roll over.

4.3 Pricing & Changes

We reserve the right to change pricing at any time. Active subscribers will be notified at least 30 days before any price increase takes effect on their renewal.

4.4 Refunds

We do not offer refunds except where required by applicable law. If you believe you have been charged in error, contact support@sweetz.ai within 14 days of the charge.

4.5 UK & EEA Consumer Cancellation Rights (Digital Content)

If you are a consumer resident in the United Kingdom or the European Economic Area, you normally have a statutory right to cancel a distance contract within 14 days of purchase (the "cooling-off period") under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 (UK) or the Consumer Rights Directive (EU).

Because the Service supplies digital content (including AI-generated text, images, video, and voice) that is delivered immediately upon payment, you expressly agree, by completing your purchase, that:

• We may begin supplying the digital content to you immediately
• You acknowledge that by starting to use the digital content, you lose your statutory right to cancel under the above regulations

This waiver does not affect your other statutory rights as a consumer, including rights relating to faulty digital content under the Consumer Rights Act 2015 (UK) or equivalent EEA law.

5. Acceptable Use

You agree not to use the Service to:

• Generate, request, or distribute any content involving minors in any sexual or exploitative context
• Create characters designed to resemble or impersonate real people (celebrities, public figures, private individuals)
• Harass, threaten, stalk, or intimidate any real person
• Share personal information of real individuals (doxxing)
• Distribute AI-generated content as real photographs or media of real people
• Engage in or promote any illegal activity
• Attempt to circumvent safety filters, rate limits, or other technical restrictions
• Reverse-engineer, scrape, or extract data from the Service for unauthorized purposes
• Use automated tools, bots, or scripts to access the Service without our written permission
• Resell, sublicense, or commercially redistribute access to the Service

Violation of these rules may result in immediate account suspension or permanent termination without refund. We may report illegal activity to law enforcement.

6. Content & Intellectual Property

6.1 AI-Generated Content

All text, images, and media generated by the Service are produced by artificial intelligence. AI-generated content is provided "as is" without any warranty of accuracy, appropriateness, or fitness for any purpose. Characters are entirely fictional and do not represent real people.

6.2 Your Content

You retain ownership of content you create (character descriptions, prompts, etc.). By using the Service, you grant us a limited license to process, store, and display your content as necessary to provide the Service. You are solely responsible for the content you create.

6.3 Our Content

The Sweetz name, logo, design, software, and all pre-made characters are the intellectual property of Sweetz Digital Ltd or are used under license. You may not copy, reproduce, or distribute our content without prior written permission.

6.4 Generated Images & Media

Images and videos generated through the Service are for your personal use. You may not use generated content to impersonate real people, create deepfakes, or for any purpose that violates these Terms or applicable law.

7. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using the Service, you consent to our data practices as described in the Privacy Policy.

8. Disclaimers

• The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, express or implied
• We do not warrant that the Service will be uninterrupted, error-free, or secure
• AI-generated responses may contain inaccuracies, biases, or inappropriate content despite safety measures
• We are not responsible for any emotional reliance on or attachment to AI characters
• We do not guarantee any specific outcome from using the Service

9. Limitation of Liability

Nothing in these Terms excludes or limits our liability for:

• Death or personal injury caused by our negligence
• Fraud or fraudulent misrepresentation
• Any matter for which it would be unlawful for us to exclude or limit liability
• Your non-excludable statutory rights as a consumer under applicable law

Subject to the paragraph above, and to the maximum extent permitted by applicable law, Sweetz Digital Ltd and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

Subject to the first paragraph of this section, our total aggregate liability for all claims arising from or related to the Service shall not exceed the greater of (a) the amount you paid to us in the 12 months preceding the claim, or (b) £100.

10. Indemnification

To the maximum extent permitted by applicable law, and except where prohibited by consumer protection law, you agree to indemnify, defend, and hold harmless Sweetz Digital Ltd and its affiliates, officers, directors, and employees from and against any third-party claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your breach of these Terms
• Your misuse of the Service
• Your violation of any applicable law or the rights of a third party
• Content you create, submit, or distribute through the Service

This indemnity does not apply to the extent your use of the Service is as a consumer and applicable consumer protection law restricts or prohibits such indemnification.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination shall survive, including but not limited to ownership, disclaimers, indemnity, and limitations of liability.

You may delete your account at any time through the profile settings page or by contacting support. Account deletion is permanent and cannot be reversed.

12. Dispute Resolution & Complaints

12.1 Complaints Procedure

We aim to resolve any complaint promptly and fairly. Before raising a formal dispute, please contact us at support@sweetz.ai describing the issue. We will acknowledge your complaint within 5 business days and aim to provide a substantive response within 30 days.

12.2 Informal Resolution

Any dispute arising from these Terms or your use of the Service should first be attempted to be resolved through good-faith negotiation between you and us.

12.3 Arbitration & Class Action Waiver (Non-Consumers)

If you are not using the Service as a consumer, any unresolved dispute shall be referred to and finally resolved by binding arbitration administered under the arbitration rules in force in England and Wales. The seat of arbitration shall be London, and the language shall be English. You agree to waive any right to participate in a class or representative action to the extent permitted by applicable law.

12.4 Consumer Rights Preserved

Nothing in this Section 12 prevents a consumer from bringing proceedings in the courts of their country of habitual residence as permitted by applicable law, and nothing in this Section 12 limits or waives any non-excludable statutory right of a consumer to pursue a claim in a competent court.

13. Governing Law & Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles.

Subject to Section 12, the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter.

If you are a consumer resident in the United Kingdom or the European Economic Area, this clause does not deprive you of the protection afforded by the mandatory consumer protection laws of your country of habitual residence, and you may also bring proceedings in the courts of that country.

If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
